PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES PROVIDED THROUGH BRYBEE.COM. THESE TERMS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND BRYWOODS DIGITAL SERVICES (OPC) PRIVATE LIMITED.

THESE TERMS INCLUDE IMPORTANT PROVISIONS REGARDING THIRD-PARTY SERVICES, LIMITATIONS OF LIABILITY, DISCLAIMERS OF WARRANTIES, USER RESPONSIBILITIES, INTELLECTUAL PROPERTY, ACCOUNT SUSPENSION, DISPUTE RESOLUTION, AND OTHER MATTERS THAT MAY AFFECT YOUR LEGAL RIGHTS. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY DISCONTINUE USE OF THE SERVICES.

I. INTRODUCTION

The website located at https://www.brybee.com (the “Site”), together with any associated websites, mobile applications, databases, software, communications, digital platforms, directories, service listings, provider profiles, search and discovery tools, enquiry facilities, booking or lead-generation features, reviews, ratings, recommendation systems, subscription services, payment-related features, content, and all other products and services made available through the Site (collectively, the “Services”), are owned and operated by Brywoods Digital Services (OPC) Private Limited (“Brybee.com,” “Company,” “we,” “our,” or “us”).

Brybee.com is a professional services aggregation and discovery platform. The Platform is intended to help individuals, businesses, organizations, institutions, and other users discover, compare, evaluate, and connect with independent professionals, consultants, agencies, businesses, freelancers, organizations, and other third-party service providers (“Service Providers”).

These Terms and Conditions (“Terms”), together with our Privacy Policy, Cookie Policy, Disclaimer, Refund Policy, and any additional policies, guidelines, notices, or agreements that may be published on the Site from time to time, constitute the agreement between Brybee.com and any individual, business, institution, organization, governmental entity, professional, consultant, agency, Service Provider, or other legal entity accessing or using the Services (“User,” “you,” or “your”).

By accessing, browsing, registering for, creating a profile, submitting an enquiry, listing a service, contacting a Service Provider, requesting a service, making a payment through the Platform, or otherwise using any portion of the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you are entering into these Terms on behalf of a company, partnership, institution, organization, government agency, non-profit organization, or any other legal entity, you represent and warrant that you have the legal authority to bind that entity to these Terms. In such event, references to “you” shall refer both to you individually and to the entity you represent.

Brybee.com reserves the right, at any time and in its discretion, to revise, amend, modify, replace, or update these Terms, subject to applicable law. Any revisions shall become effective upon publication on the Site unless otherwise specified. Your continued use of the Services following publication of revised Terms constitutes acceptance of the revised Terms.

Nothing contained in these Terms creates a partnership, agency, employment relationship, joint venture, fiduciary relationship, franchise relationship, or other similar legal relationship between you and Brybee.com, except where expressly agreed in writing.

II. ELIGIBILITY

You further represent and warrant that:

  • You possess the legal capacity to enter into these Terms.
  • All information submitted by you is truthful, accurate, current, and complete.
  • You will maintain and update your information when necessary.
  • Your use of the Services complies with all applicable laws and regulations.
  • You will not use the Services for unlawful, fraudulent, deceptive, abusive, or unauthorized purposes.
  • You will not misrepresent your identity, qualifications, professional status, business, services, or authority.

Brybee.com may refuse registration, restrict functionality, suspend access, or terminate an Account where Brybee.com reasonably believes that a user has violated these Terms, provided false information, engaged in fraudulent or abusive conduct, or created a legal, security, operational, or reputational risk. The Services may be used by, among others:

  • Individual consumers;
  • Professionals;
  • Freelancers;
  • Consultants;
  • Agencies;
  • Small and medium-sized businesses;
  • Companies and corporations;
  • Educational and training organizations;
  • Non-profit organizations;
  • Startups;
  • Institutions;
  • Employers;
  • Organizations seeking professional services;
  • Service Providers seeking customers or clients; and
  • Other lawful users seeking or offering professional services.

Eligibility to use Brybee.com does not constitute approval, verification, certification, endorsement, or guarantee of any Service Provider or service.

III. DESCRIPTION OF THE SERVICES

Brybee.com operates as a professional services aggregation, information, discovery, and connection platform.

The Services may include, without limitation:

  • Professional service listings;
  • Service Provider profiles;
  • Business and professional directories;
  • Search and filtering tools;
  • Service categories and subcategories;
  • Provider comparison and discovery features;
  • Enquiry and contact facilities;
  • Lead-generation services;
  • Booking or appointment-related facilities;
  • Reviews and ratings;
  • Featured listings;
  • Sponsored listings;
  • Promotional offers;
  • Personalized recommendations;
  • Location-based discovery;
  • Service request forms;
  • Notifications and alerts;
  • Email communications;
  • Customer and provider accounts;
  • Provider dashboards;
  • Profile management;
  • Subscription services;
  • Premium features;
  • Advertising services;
  • Analytics and reporting;
  • AI-assisted recommendations or search tools;
  • Educational or informational content;
  • Guides and resources;
  • Customer support;
  • Payment-related features where available; and
  • Other services introduced by Brybee.com from time to time.

Brybee.com may operate in multiple professional service categories, including but not limited to consulting, education and training, technology, business services, creative services, marketing, recruitment, career services, legal or professional support, financial and accounting services, home and local services, wellness-related services, and other categories permitted by applicable law.

Unless expressly stated otherwise, Brybee.com is not the provider, employer, contractor, owner, administrator, sponsor, or decision-making authority of services offered by third-party Service Providers.

Brybee.com primarily aggregates, organizes, indexes, categorizes, displays, and facilitates access to information and services supplied by Service Providers and other third parties.

Accordingly, Brybee.com does not represent or warrant that:

  • any Service Provider profile is complete;
  • any provider remains available;
  • any listed price remains unchanged;
  • any qualification or credential remains current;
  • any service description is complete or error-free;
  • any review or rating is accurate or representative;
  • any provider will accept a service request;
  • any Service Provider will perform a service;
  • any service will meet a user’s expectations;
  • any transaction will be completed successfully;
  • any appointment or booking will be honored;
  • any particular result will be achieved; or
  • any Service Provider is suitable for a particular user.

Users are solely responsible for independently evaluating and verifying Service Providers and service information before relying upon or acting on any listing.

Brybee.com may modify, suspend, discontinue, remove, add, replace, or enhance any portion of the Services at any time, subject to applicable law.

IV. USER AND SERVICE PROVIDER ACCOUNTS

4.1 Account Registration

Certain features of the Services may require registration for a user account (“Account”).

Depending on the type of Account, users may be able to:

  • Create a personal or business profile;
  • List professional services;
  • Receive enquiries;
  • Contact Service Providers;
  • Save listings;
  • Submit service requests;
  • Receive recommendations;
  • Manage bookings where available;
  • Receive notifications;
  • Purchase subscriptions or premium features; or
  • Access other Platform functionality.

When creating an Account, you agree to provide true, accurate, current, and complete information and to update that information when necessary.

Brybee.com may approve, reject, restrict, suspend, or terminate an Account for lawful reasons, including where information appears false, incomplete, misleading, fraudulent, or inconsistent with these Terms. Nothing in these Terms obligates Brybee.com to approve a registration request or maintain an Account indefinitely.

4.2 Account Responsibilities

You are solely responsible for maintaining the confidentiality and security of your Account credentials.

You agree to:

(a) maintain the confidentiality of your username, password, authentication information, and other security credentials;
(b) immediately notify Brybee of suspected unauthorized access;
(c) take reasonable precautions to protect your Account;
(d) log out when using shared or public devices; and
(e) remain responsible for activities occurring through your Account, subject to applicable law.

Brybee shall not be responsible for loss arising from your failure to maintain reasonable Account security.

4.3 One Account Per User

Unless expressly authorized by Brybee.com, an individual should maintain only one personal Account.

A Service Provider, company, agency, or organization may maintain multiple authorized business profiles only where such use is permitted by the Platform.

Users must not create multiple Accounts for the purpose of:

  • Circumventing restrictions;
  • Manipulating search results;
  • Manipulating reviews or ratings;
  • Creating artificial enquiries;
  • Evading suspension;
  • Misrepresenting identity;
  • Obtaining unauthorized benefits;
  • Abusing promotional offers; or
  • Engaging in fraudulent or deceptive activity.

Brybee.com may merge, restrict, suspend, or delete duplicate or abusive Accounts.

4.4 Accuracy of Registration Information

You represent and warrant that information submitted through your Account is truthful, complete, accurate, and not misleading.

For Service Providers, this may include:

  • Legal or business name;
  • Professional name;
  • Service category;
  • Qualifications;
  • Licenses or registrations where applicable;
  • Professional experience;
  • Business location;
  • Service areas;
  • Pricing information;
  • Availability;
  • Contact information;
  • Portfolio information;
  • Certifications;
  • Business registration information;
  • Reviews or testimonials submitted by the provider; and
  • Other information relating to the services offered.

For customers or users seeking services, information may include:

  • Name;
  • Contact details;
  • Location or service area;
  • Service requirements;
  • Budget or preferences;
  • Appointment requirements;
  • Business information; and
  • Other information voluntarily submitted for the purpose of obtaining or evaluating services.

Brybee.com may rely on information supplied by users and Service Providers when operating the Platform.

Inaccurate information may result in incorrect recommendations, unsuitable enquiries, incorrect listings, or other consequences for which Brybee.com shall not be responsible to the extent permitted by law.

V. SERVICE PROVIDER REGISTRATION

5.1 Service Provider Profiles

Brybee.com may permit professionals, businesses, agencies, consultants, freelancers, organizations, and other eligible entities to create Service Provider profiles.

A Service Provider profile may include:

  • Business or professional name;
  • Description of services;
  • Qualifications;
  • Experience;
  • Certifications;
  • Licenses or registrations;
  • Areas of specialization;
  • Service locations;
  • Service areas;
  • Pricing or pricing ranges;
  • Availability;
  • Portfolio materials;
  • Photographs;
  • Reviews and ratings;
  • Contact or enquiry information;
  • Business hours;
  • Website or social media links; and
  • Other information submitted by the Service Provider.

Creation of a profile does not automatically mean that Brybee.com has independently verified every statement or credential.

5.2 Provider Verification

Brybee.com may offer verification, screening, identity checks, credential checks, business verification, document review, or other verification features.

Where a verification badge or similar indication is displayed, it applies only to the specific information or verification process identified by Brybee.com.

Verification does not guarantee:

  • service quality;
  • future performance;
  • professional competence;
  • continued validity of a credential;
  • legal compliance;
  • financial stability;
  • customer satisfaction; or
  • any particular outcome.

Service Providers remain responsible for maintaining valid licenses, registrations, permissions, insurance, qualifications, and other requirements applicable to their services.

5.3 Service Listings

Service Providers are solely responsible for the accuracy and legality of their listings.

Service descriptions must accurately reflect the services actually offered.

Service Providers must not publish:

  • False claims;
  • Misleading prices;
  • Fake qualifications;
  • Fake reviews;
  • Misleading photographs;
  • Unauthorized trademarks;
  • Fraudulent offers;
  • Illegal services; or
  • Claims that cannot reasonably be supported.

Brybee.com may edit, reject, restrict, or remove listings where reasonably necessary to protect users, comply with law, maintain Platform quality, or enforce these Terms.

5.4 Matching and Recommendations

Brybee.com may use information supplied by users and Service Providers to generate search results, recommendations, rankings, matches, or suggestions.

Such results may be influenced by factors including search terms, location, category, profile information, availability, user preferences, Platform activity, reviews, ratings, paid placement, or other technical or commercial factors disclosed by Brybee.com.

Recommendations are informational and do not constitute professional advice, certification, endorsement, or a guarantee that a Service Provider is suitable.

VI. USER-SERVICE PROVIDER INTERACTIONS

6.1 Independent Relationship

Brybee.com facilitates connections between users and Service Providers. Unless expressly stated otherwise, Brybee.com is not a party to the service contract between them.

Any quotation, proposal, agreement, consultation, appointment, payment, service delivery, refund, cancellation, dispute, or other transaction is primarily between the user and the Service Provider.

6.2 Due Diligence

Before engaging a Service Provider, users should independently consider:

  • Identity;
  • Qualifications;
  • Experience;
  • Licenses and registrations;
  • Pricing;
  • Contract terms;
  • Deliverables;
  • Timelines;
  • Cancellation and refund terms;
  • Data handling practices; and
  • Any other information relevant to the engagement.

Users should obtain written agreements where appropriate.

6.3 Service Provider Obligations

Service Providers are responsible for:

  • Delivering services as agreed with customers;
  • Maintaining applicable qualifications and permissions;
  • Complying with applicable laws;
  • Providing accurate information;
  • Communicating honestly;
  • Handling customer information appropriately;
  • Honoring agreed prices and terms;
  • Managing refunds and cancellations where applicable; and
  • Resolving customer complaints relating to their own services.

Brybee.com does not assume responsibility for obligations belonging to Service Providers.

6.4 Disputes Between Users and Service Providers

Users and Service Providers should first attempt to resolve disputes directly.

Brybee.com may, at its discretion, assist with communication, investigate reported conduct, restrict accounts, remove listings, or take other Platform-related action.

However, unless expressly agreed otherwise, Brybee.com is not required to resolve private contractual disputes between users and Service Providers.

VII. NOTIFICATIONS AND COMMUNICATIONS

7.1 Electronic Communications

By creating an Account, submitting information, requesting a service, subscribing to notifications, or providing contact information, you consent to receive electronic communications from Brybee.com as permitted by applicable law.

Communications may include:

  • Service recommendations;
  • Enquiry notifications;
  • Booking or appointment notifications;
  • Account notices;
  • Security alerts;
  • Service updates;
  • Platform announcements;
  • Promotional communications;
  • Surveys;
  • Product updates;
  • Administrative notices;
  • Legal notices; and
  • Other communications relating to the Services.

7.2 Email and Notification Delivery

Brybee.com does not guarantee uninterrupted or successful delivery of notifications.

Delivery may be affected by:

  • Incorrect email addresses;
  • Spam filters;
  • Email provider restrictions;
  • Network failures;
  • Server outages;
  • User mailbox limitations;
  • Device settings;
  • Third-party service providers;
  • Technical failures; or
  • Circumstances beyond Brybee.com’s reasonable control.

Users remain responsible for monitoring important communications, bookings, deadlines, appointments, payments, and service obligations.

7.3 Promotional Communications

Where applicable, users may unsubscribe from promotional communications using the available unsubscribe mechanism.

Brybee.com may continue sending transactional, administrative, security, legal, and account-related communications where permitted or required by law.

VIII. SUBSCRIPTIONS AND PAID SERVICES

Unless otherwise stated, certain basic Platform features may be provided without charge.

Brybee.com may offer paid products or services, including:

  • Premium memberships;
  • Featured listings;
  • Advertising packages;
  • Lead-generation packages;
  • Provider subscriptions;
  • Enhanced visibility;
  • Verification services;
  • Promotional services;
  • Consultation or support services;
  • Business tools;
  • Analytics or reporting tools; and
  • Other paid features introduced from time to time.

The purchase of any paid Service may be subject to additional terms presented before or at the time of purchase.

Prices, plans, features, taxes, billing cycles, renewal terms, cancellation rights, and refund conditions will be governed by the applicable purchase terms and policies.

Brybee.com may modify pricing or discontinue paid plans subject to applicable law and any commitments already made to users.

Payment for a paid Platform service does not guarantee leads, customers, enquiries, bookings, revenue, rankings, business growth, or any other commercial result unless expressly guaranteed in writing.

IX. ACCOUNT SUSPENSION AND TERMINATION

Brybee may, at its discretion and subject to applicable law, suspend, restrict, disable, or permanently terminate an Account if Brybee reasonably believes that:

(a) you have violated these Terms;
(b) you have violated applicable law;
(c) you have provided false or misleading information;
(d) you have engaged in fraud or deceptive conduct;
(e) your conduct threatens the security, or integrity of the Platform;
(f) your Account creates legal, operational, or reputational risk;
(g) you have manipulated reviews, ratings, listings, or Platform features;
(h) you have failed to pay applicable fees;
(i) you have misused another user’s information; or
(j) suspension or termination is otherwise reasonably necessary to protect Brybee, users, Service Providers, partners, or the public.

Upon termination, Brybee may revoke access, deactivate the Account, remove associated listings or content, and discontinue future communications, subject to applicable law.

Termination does not affect obligations or provisions that are intended to survive termination.

X. USER CONTENT

10.1 User Content Generally

“User Content” means information, data, documents, photographs, images, text, profiles, service descriptions, portfolios, reviews, ratings, comments, messages, proposals, feedback, business information, or other material that a user uploads, submits, transmits, publishes, displays, or otherwise makes available through the Services.

You retain ownership of User Content that you lawfully own, subject to the rights granted to Brybee.com under these Terms.

You are solely responsible for the User Content submitted through your Account.

10.2 User Representations

By submitting User Content, you represent and warrant that:

(a) you own or have the necessary rights and permissions to submit it;
(b) it does not infringe the rights of another person or entity;
(c) it is not intentionally false or misleading;
(d) it does not contain malicious code;
(e) it complies with these Terms and applicable law; and
(f) you have authority to disclose any confidential or business information included in the submission.

10.3 Uploaded Documents

Users and Service Providers may upload documents such as:

  • Professional certificates;
  • Licenses;
  • Business documents;
  • Portfolios;
  • Resumes;
  • Proposals;
  • Service brochures;
  • Identity documents where requested;
  • Images;
  • Contracts or supporting documents; and
  • Other materials relevant to Platform functionality.

Users are responsible for ensuring that they have the right to upload such documents.

Submission of a document does not automatically mean that Brybee.com has verified, authenticated, certified, or endorsed it.

10.4 Reviews and Ratings

Users may be permitted to submit reviews and ratings based on genuine experiences.

Users must not:

  • Submit fake reviews;
  • Review their own services;
  • Offer or accept compensation for misleading reviews;
  • Threaten another person to obtain a review;
  • Manipulate ratings;
  • Impersonate customers; or
  • Submit knowingly false or defamatory information.

Brybee.com may moderate, remove, restrict, or refuse reviews where reasonably necessary.

10.5 Monitoring and Removal

Brybee.com may, but is not obligated to, monitor, review, screen, investigate, edit, restrict, remove, or disable User Content where reasonably necessary to:

  • Enforce these Terms;
  • Comply with law;
  • Protect users;
  • Protect intellectual property;
  • Address fraud or abuse;
  • Protect Platform security; or
  • Maintain the quality and integrity of the Services.

Failure to monitor or remove content does not constitute approval or endorsement.

10.6 Data Retention

Brybee.com may retain User Content for as long as reasonably necessary to:

  • Provide the Services;
  • Maintain records;
  • Comply with applicable law;
  • Resolve disputes;
  • Enforce these Terms;
  • Protect legal rights;
  • Maintain backups; or
  • Satisfy legitimate operational or business requirements.

Personal information will be handled in accordance with the Privacy Policy and applicable law.

XI. LICENSE GRANTED TO BRYBEE

11.1 Operational License

By submitting User Content through the Services, you grant Brybee.com a worldwide, non-exclusive, royalty-free, limited license to host, store, reproduce, process, transmit, display, format, index, organize, and otherwise use that User Content solely as reasonably necessary to operate, maintain, secure, improve, and provide the Services.

This license does not transfer ownership of your User Content to Brybee.com.

For public Service Provider profiles, listings, reviews, photographs, business descriptions, and promotional materials, the license may also permit Brybee.com to display and promote such content through the Platform and related marketing channels for the purpose of operating and promoting the Services, subject to applicable law and any specific settings or agreements governing the content.

11.2 AI, Automation and Recommendation Technologies

Brybee.com may use automated systems, artificial intelligence, machine learning, recommendation engines, search algorithms, fraud-detection tools, and similar technologies to:

  • Improve search;
  • Match users with Service Providers;
  • Recommend services;
  • Rank or organize listings;
  • Detect duplicate or suspicious information;
  • Improve Platform performance;
  • Analyze Platform usage;
  • Personalize user experiences;
  • Improve customer and provider tools; and
  • Develop or improve Services.

Automated recommendations may contain errors and are informational only. They do not constitute professional advice, certification, eligibility determination, or a guarantee of any result.

11.3 Aggregated and Anonymized Data

Brybee.com may create aggregated, statistical, anonymized, or de-identified information derived from Platform usage and User Content, provided that such information is handled in accordance with applicable law and does not reasonably identify an individual.

Such information may be used for:

  • Platform analytics;
  • Service improvement;
  • Business planning;
  • Market analysis;
  • Research;
  • Product development;
  • Trend analysis; and
  • Reporting

11.4 Feedback

If you voluntarily provide suggestions, ideas, comments, recommendations, or other feedback concerning Brybee.com, you grant Brybee.com the right to use such Feedback without compensation or attribution, subject to applicable law.

Brybee.com is not obligated to implement any Feedback.

XII. ACCEPTABLE USE POLICY

12.1 General Standard of Conduct

Your use of Brybee.com is conditioned on compliance with these Terms and applicable law.

You must use the Platform in a lawful, honest, respectful, and reasonable manner.

You must not use the Platform in a manner that damages, disables, overburdens, interferes with, or compromises the operation, security, integrity, or availability of the Services.

12.2 Prohibited Activities

You shall not directly or indirectly:

(a) violate any applicable law or regulation;
(b) submit false, misleading, deceptive, or fraudulent information;
(c) impersonate another person or organization;
(d) create Accounts using another person’s identity without authorization;
(e) manipulate search results, ratings, reviews, or listings;
(f) publish fake qualifications, licenses, certifications, testimonials, or business credentials;
(g) publish services that you are not legally authorized to provide;
(h) submit forged or altered documents;
(i) engage in fraud, scams, phishing, or deceptive practices;
(j) harass, threaten, intimidate, or abuse another user;
(k) use the Platform to facilitate unlawful transactions;
(l) interfere with another user’s use of the Services;
(m) collect personal information without appropriate authorization;
(n) distribute malware or harmful code; or
(o) encourage another person to engage in prohibited conduct.

12.3 Unauthorized Commercial Use

Unless expressly authorized by Brybee in writing, you shall not:

(a) reproduce, sell, license, lease, rent, or commercially exploit Platform content;
(b) copy or republish provider databases or listings;
(c) use Platform data to build a competing directory or aggregation service;
(d) use Platform information for unauthorized bulk marketing or prospecting;
(e) use Brybee branding or trademarks without permission; or
(f) resell access to Platform features.

12.4 Automated Access and Data Collection

Unless expressly authorized by Brybee in writing, you shall not:

(a) use robots, bots, spiders, crawlers, scrapers, automated scripts, AI agents, or similar tools to access the Platform;
(b) scrape, extract, copy, mine, download, or collect Platform data through automated means;
(c) circumvent technical measures designed to prevent automated access;
(d) use Platform content to train artificial intelligence or machine learning models without authorization;
(e) overload the Platform through excessive requests; or
(f) bypass usage limits, authentication controls, or security measures.

Brybee may block or restrict automated access at any time.

12.5 Security Violations

You agree not to:

(a) attempt unauthorized access to Platform systems, servers, databases, networks, APIs, or Accounts;
(b) probe, scan, or test Platform vulnerabilities without authorization;
(c) circumvent authentication or security mechanisms;
(d) introduce viruses, ransomware, spyware, worms, Trojan horses, or other harmful code;
(e) interfere with Platform security;
(f) launch denial-of-service attacks;
(g) intercept data without authorization;
(h) alter or manipulate Platform functionality; or
(i) attempt to access information belonging to another user without authorization.

12.6 Intellectual Property Violations

You shall not upload, publish, transmit, or distribute content that infringes copyrights, trademarks, patents, trade secrets, privacy rights, publicity rights, or other intellectual property rights.

12.7 Prohibited User Content

You shall not submit content that:

(a) is unlawful;
(b) is fraudulent or intentionally misleading;
(c) is defamatory or abusive;
(d) promotes violence or criminal activity;
